Welcome to prm vid Formations. These Terms & Conditions ("Terms") govern your use of our website and the purchase of services from prm vid Formations (referred to as "we", "us", or "our"). By using our site or engaging our services, you agree to these Terms. If you do not agree, please do not use our site or services.

1. Services

We provide digital marketing services including, but not limited to, social media marketing, SEO, web design & development, content creation, Google My Business optimization, paid advertising, and consultancy (collectively, "Services"). Specific deliverables, timelines, and fees for Services will be described in a separate proposal, statement of work (SOW), or invoice agreed upon by both parties.

2. Proposals, Quotes & Acceptance

All proposals and quotes are valid for the period specified in the document. A contract is formed when the client accepts a proposal in writing (including email) and pays any required deposit or retainer specified in the proposal.

3. Payment Terms

• Fees are as set out in the applicable proposal, invoice, or SOW.
• Unless otherwise stated, a deposit may be required before work begins. Remaining balances are payable on the terms in the invoice.
• Invoices not paid by the due date may incur late fees or interest at the lesser of 1.5% per month or the maximum permitted by law.
• We reserve the right to suspend Services for overdue accounts after providing notice.

4. Refunds & Cancellations

Refunds are offered only as expressly provided in writing in a specific agreement. Because of the nature of digital services, deposits are generally non-refundable once work has commenced. If you cancel Services after work has begun, you remain responsible for fees for work performed up to the cancellation date.

5. Client Responsibilities

Clients agree to provide timely access to necessary resources, content, credentials, approvals, and information needed to perform Services. Delays in receiving required materials may affect timelines and deliverables. The client is responsible for accuracy of materials provided.

6. Intellectual Property

• Unless otherwise agreed in writing, we retain ownership of all intellectual property created prior to or outside the scope of the engagement ("Pre-existing IP").
• Upon full payment, we grant the client a non-exclusive, non-transferable license to use deliverables provided as part of the Services for their intended business purposes.
• We may use anonymized, aggregated results from projects for marketing and portfolio purposes unless the client has requested confidentiality in writing and we have agreed to it.

7. Confidentiality

Each party agrees to keep the other's confidential information private and to not disclose it to third parties, except as required by law. Confidential information does not include information that is public knowledge or lawfully received from a third party.

8. Warranties & Disclaimers

We will perform Services with reasonable skill and care. However, we do not warrant specific results such as particular search rankings, sales figures, or ROI. Except where prohibited by law, all warranties (express or implied) are disclaimed.

9. Limitation of Liability

To the maximum extent permitted by law, prm vid Formations' total liability for any claim arising from or related to these Terms or the Services will not exceed the total fees paid by the client to prm vid Formations under the specific agreement in the 12 months preceding the claim. In no event will we be liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption.

10. Indemnification

The client agrees to indemnify, defend, and hold harmless prm vid Formations and its officers, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of the client's breach of these Terms, misuse of deliverables, or violation of applicable laws.

11. External Services & Third-Party Providers

We may use third-party platforms, plugins, or service providers (e.g., ad platforms, hosting, analytics). Use of such third-party services is subject to their terms, and we are not responsible for their performance or policies. Any third-party costs (ad spend, software licenses, hosting fees) are the client's responsibility unless otherwise agreed.

12. Data & Privacy

We handle personal data in accordance with our Privacy Policy. Clients must ensure they have the necessary consents and legal bases to provide personal data to us for processing. We will take reasonable technical and organizational measures to protect client data.

13. Termination

Either party may terminate an agreement for material breach if the breach is not cured within 15 days of written notice. We may also suspend or terminate Services for non-payment. Upon termination, the client will pay for all services rendered and costs incurred up to the termination date.

14. Amendments

We may modify these Terms from time to time. Material changes will be posted on our website with an updated "Last updated" date. Continued use of our Services after notice of changes will constitute acceptance of the amended Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction where prm vid Formations is registered, without regard to conflict-of-law rules. Any dispute arising under these Terms will first be referred to good-faith negotiation; if not resolved, disputes may be resolved in the competent courts of that jurisdiction.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with any SOW, proposal, or other written agreement between the parties, constitute the entire agreement and supersede prior discussions and agreements.
